Glaser Weil Advises SC Fuels in Strategic Acquisition of Downs Energy Division

Glaser Weil represented SC Fuels, a leading West Coast petroleum distributor and wholly owned subsidiary of Pilot Travel Centers LLC (Pilot Company), in its strategic acquisition of the cardlock, fueling and lubricants assets from Downs Energy, a family-owned petroleum marketing business based in California.

The transaction involved the acquisition of two distinct lines of business spread across multiple parcels of real property in California. Glaser Weil served as both M&A and real estate counsel.

This acquisition significantly expands SC Fuels’ footprint in Southern California, enhancing its ability to meet the region’s growing demand for petroleum products and services. The deal provides SC Fuels with access to over 50 cardlock fueling locations and strengthens its end-to-end fuel delivery network.

The Glaser Weil team was led by Matthew Jann, Marc Indeglia and Charles Martin, with assistance from Jeffrey Soza, Jason Grinnell, Tigran Samvelyan, Lara Petersen and Aaron Allan.

The deal closed on October 1, 2025, and was announced on October 20.
