Glaser Weil Represents Alumni Capital in Steakholder Foods’ $1.25M Private Placement and $8M Equity Line of Credit

Glaser Weil is pleased to announce that its client, Alumni Capital has entered into definitive agreements for a $1.25 million private placement and an $8 million equity line of credit (ELOC) with Steakholder Foods Ltd. (Nasdaq: STKH), a leading innovator in alternative proteins and 3D printing technologies. Glaser Weil Partner and Corporate Department Co-chair Marc Indeglia represented Alumni Capital in the transaction.

As part of the private placement, Alumni Capital agreed to purchase 985,028 American Depositary Shares (ADSs) of Steakholder Foods at a price of $1.269 per ADS, along with warrants to purchase up to an additional 985,028 ADSs at an exercise price of $2.00 per ADS. In addition, the $8 million ELOC agreement provides Steakholder Foods with a dynamic financing option, enabling the company to raise capital on an as-needed basis while strategically managing shareholder equity.
