Michael Cypers, a partner in Glaser Weil’s Litigation Department, will serve as a panelist during the annual ABA Forum on Affordable Housing and Community Development Law Meeting for a session on “Drafting Considerations for Key Non-Tax Provisions in Partnership and Operating Agreements.” The meeting will take place from May 25 – 27, 2016, at the Mandarin Oriental Hotel in Washington, DC, with Mr. Cypers’ panel scheduled for Friday, May 27.
This year’s Conference builds on the Forum's long-standing tradition of providing a venue for the discussing the latest developments in affordable housing and community development law, while also offering an opportunity to consider broader forces affecting the nation's affordable housing and community development resources. Sessions will explore strategies and policies related to fair housing, tax credit equity, public housing, and community economic development.
Mr. Cypers’ panel will discuss how drafting variations can greatly impact interpretation and enforcement of certain terms in partnership and operating agreements. The discussion will also examine provisions including removal of general partners and managing members, forum and choice of law, guaranties, and conditions for funding. The panel will also cover recent developments in conflict of interest law applying to lawyers who draft agreements.
