      • Successfully represented a major oil company with respect to its lease of approximately 250 gas stations to a national, publicly traded oil and refining company.
      • Successfully represented financial institutions and/or developing distressed real estate property throughout the United States, resulting in multi-million/billion dollar turnarounds.
      • Assisted a developer in acquiring a portfolio of 18 properties on the Pacific Coast for $174 million and in obtaining the proper insurance policies for the sites.
      • Represented a Fortune 500 title insurance company in connection with several multi-million dollar coverage matters involving real property located in Nevada, Washington and elsewhere in the western United States.
      • Represented a major apparel manufacturer in the acquisition of a contemporary women’s apparel business.
      • Represented a large aluminum producer in the acquisition of a specialty aluminum manufacturer.
      • Negotiated the management-led buyout of a multi-national private company headquarted in Southern California with in excess of $100 million in annual sales.
      • Advising public companies in connection with their obligations under Sarbanes-Oxley and the governance regulations of the NYSE and NASDAQ.
      • The purchase or sale of a number of Las Vegas hotel/casinos, including The Desert Inn, The Sands, The Mirage, The Golden Nugget and Mandalay Resort Group.
      • The sale of Metro-Goldwyn-Mayer to Sony and a group of private equity firms.
      • The sale by MGM Resorts International of a major block of its common stock in a private placement to Dubai World.
      • Representing Wynn Resorts Ltd. in litigation regarding the removal of its largest shareholder and the redemption of his stock.
      • Representing a major time share company in connection with general corporate matters, including general oversight and supervision of the legal department.
      • Representing the chairman and chief executive officer of a New York Stock Exchange-traded company in connection with his separation from the company.
